Through its ‘Iberdrola Flexible Dividend’ plan, corresponding to the final dividend payment in July
The Group will increase its share capital by 2.78% to issue the stock-dividend
The Company has acquired subscription rights for €397.8 million from shareholders opting for remuneration in cash
Today, IBERDROLA has filed the results of its “Iberdrola Flexible Dividend” plan, which offered its shareholders the option to receive the final dividend payment against 2011 results in cash or in company shares at no cost.

A total of 58.38% of IBERDROLA’s shareholders have opted to obtain bonus shares with no withholding tax at the rate of 21 subscription rights for each new company share.

The company will issue 166.02 million new shares, increasing its capital by 2.78% of total stock.

Trading in the new shares will start on the Madrid, Barcelona, Bilbao and Valencia stock exchanges on Friday 27 July, as per this year’s ““Iberdrola Flexible Dividend” calendar.

Also, 41.62% of shareholders – holding 2,486.27 million shares – have opted for remuneration in cash, accepting the Group’s offer to acquire their rights at the guaranteed price of €0.16 per right, subject to a withholding tax of 21%. Hence the company will pay a total of €397.80 million to shareholders that chose to sell their rights to IBERDROLA at a fixed price. Payment will take place on Monday, 23 July.

IBERDROLA has improved its shareholder remuneration from last year’s level. The commitment to purchase at €0.16 per share is in addition to the ordinary cash dividend of €0.03 per share and the €0.146 per share paid in January, bringing shareholder remuneration for 2011 to €0.336 per share against €0.332 in 2010.

If you add in the attendance bonus of €0.005 per share paid at the Annual Shareholders’ Meeting, total remuneration for 2011 amounted to €0.341 per share as opposed to €0.337 paid in 2010
