Vodafone to gain control of South Africa's Vodacom
U.K. mobile giant lifts Vodacom stake to 65%

LONDON (MarketWatch) -- Vodafone Group Plc, the world's largest mobile operator by revenue, on Thursday looked set to take control of Vodacom Group after buying a further 15% stake in South Africa's No.1 mobile operator. Vodafone (UK:VOD: news, chart, profile) (VOD:18.12, -0.82, -4.3%) said it is buying the additional stake from fixed-line operator Telkom SA (TKG:46.00, -1.98, -4.1%) for 1.4 billion pounds ($2.2 billion) in cash. The deal, which is conditional on the 75% approval of Telkom shareholders, will bring Vodafone's share in Vodacom to 65%.
It will also secure Vodafone's position in a key African market from which to expand into other countries. Vodacom has strong market positions in South Africa, the Democratic Republic of Congo, Lesotho, Mozambique and Tanzania.
In the fiscal-year ended March 31, Vodacom reported a 17% in revenue and a 16% rise in earnings before interest, tax, depreciation and amortization (Ebitda).
Vodacom will be listed on the Johannesburg Stock Exchange. The remaining 35% of Vodacom will be demerged by Telkom to its shareholders.
Vodafone shares have come under pressure in recent weeks as investors worry that a slowdown in emerging markets and the threat of a recession in Western countries will take a toll on earnings.
Vodafone shares fell 5% in London morning trading.
